9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL PIZZANA, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUPPLIERS, OR SUCCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN ANY WAY RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PIZZANA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZANA IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
The limitations and exclusions in this section apply regardless of the form of action, whether based in contract, tort (including negligence), strict liability, or any other legal or equitable theory, and shall survive and apply even if any limited remedy is found to have failed of its essential purpose.
Some states, including New Jersey and Massachusetts, do not allow the exclusion or limitation of incidental or consequential damages in certain circumstances. If you are a resident of such a state, some or all of the above limitations may not apply to you, and you may have additional legal rights.
10. Indemnification
You agree to defend, indemnify, and hold harmless Pizzana and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

- Your violation of any applicable law, rule, or regulation;
- Your violation of any third-party rights, including intellectual property rights or privacy rights;

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Our services are intended for users located within the United States. We make no representation that the Site or its content is appropriate or available for use in locations outside the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

12. Dispute Resolution and Arbitration
12.1 Informal Resolution

The parties agree to use good faith efforts to resolve the dispute informally for a period of at least thirty (30) days following receipt of such notice before resorting to formal dispute resolution procedures.
12.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Site or services, shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
The arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could order or grant, except that the arbitrator may not award declaratory or injunctive relief benefiting anyone other than the parties to the arbitration. The arbitrator shall issue a reasoned written decision explaining the essential findings and conclusions on which any award is based.
12.3 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PIZZANA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. If this class action waiver is found to be unenforceable for any reason, then the entire arbitration provision shall be null and void, and any claims shall be resolved in a court of competent jurisdiction.
12.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened misappropriation of intellectual property or breach of confidentiality obligations. Small claims court actions, where eligible, are also exempt from the arbitration requirement.

16. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other agreements, policies, or guidelines posted on the Site or otherwise agreed to by the parties, constitute the entire agreement between you and Pizzana with respect to your use of the Site and our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to such subject matter.
These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between you and Pizzana. Neither party has the authority to bind the other or incur any obligation on the other's behalf.

17. Force Majeure
Pizzana shall not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, civil unrest, labor disputes, supply chain disruptions, power outages, internet outages, or other events of force majeure. In such circumstances, our obligations shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.
